Advice is also provided on structuring and formation of India dedicated funds out of Mauritius, Cyprus or Singapore, on India entry strategy, registration with the Securities & Exchange Board of India (equivalent to the Securities & Exchange Commission of the U.S.) as a Foreign Institutional Investor, Mutual Fund, Venture Fund etc.

Cross-border Transactions

India Entry Strategy, Exchange Controls, Enforceability

G&A advises on the exchange management laws prevalent in India by virtue of the Foreign Exchange Management Act, 1999 of India and the various rules and regulations issued there under by the Reserve Bank of India. Each cross-border transaction's validity and enforceability may be impacted by such laws. Also, certain types of transactions require compliance with such laws including by way of filing reports with the RBI and/or seeking specific approvals. G&A regularly advises its clients on the aforesaid matters.

G&A also advises on matters relating to enforceability of foreign arbitral awards and judgments in India and public policy considerations which may impact the enforceability of a contract under Indian laws.

G&A also assists Indian entities in matters such as overseas joint ventures and acquisitions, private placements, overseas listings, high yield debt transactions, SPAC transactions, etc.
